I provide corporate governance, policy and legal advice to the Board of Directors ensuring that all meetings are held and documented according to the law. I also ensure that the Board operates accountably, transparently and efficiently by conducting board induction, board evaluation and facilitating board training. I facilitate the conduct of corporate governance and legal risk audits and oversee the implementation of reports arising from these audits. I oversee and co-ordinate KYEB's litigation. I manage the corporate secretarial and legal department, undertake legal research and provide legal advice based on my assessment of the regulatory environment. I ensure KYEB mitigates its legal risks present in the regulatory framework, in contracts and insurance policies.

• Assessed start-ups to determine the viability of investing in them, prepared reports and present them to partners. • Monitored performance of portfolio companies and communicated findings to partners. • Researched on and generated viable investors for firm and portfolio companies. Key Contributions • Developed the content for the website for predecessor and current firms and coordinated its launch. • Provided financial metrics of the 8 portfolio companies to investors. • Drafted and reviewed stockholder agreements, LLP agreements, non-disclosure agreements and other contracts required by the firm. • Maintained online presence for the company.

Key Contributions • Oversaw the recruitment process of the managing director. • I led the department and Company to be awarded the Champions of Governance Awards (Statutory Bodies Category) in 2017 and 2018. • Provided legal advice to the Board of Directors and Senior Management. Ensure that meetings are convened and held in compliance with the law and internal governance instruments. • Reviewed and drafted all contracts with suppliers and draft or update internal company policies. • Ensured that the Foundation complies with applicable law and internal policy through the compliance programme, conduct governance & legal risk audits and implement recommendations from audits.

• Advised a bank on a proposed rights issue to raise capital of KSh.10,000,000,000 (approximately US$97,087,379). Formed part of a team that conducted a complete legal due diligence on the client & its subsidiaries. • Assisted clients with setting up companies, microfinance businesses & non-governmental organisations, obtained work permits & special passes for them, assisted in company restructuring, & corporate legal compliance for clients. • Registered, renewed, assigned & searched for over 300 trademarks. • Drafted legal documents, such as wills, employment, shareholder & joint venture agreements, & human resource policies. • Analysed laws and regulations such as the Draft Trade Marks Rules, 2016 and the Companies Act, 2015. Key Contributions • Formed part of a working group designated by the Attorney General whose proposals formed the basis of the amendments to the Companies Act, 2015. • Successfully managed a desk of more than 400 client files. • Mentioned in IP Stars 2017 Legal Directory as a notable trade mark lawyer in Kenya. • Wrote legal articles published by the DLA Piper global team.
