    At Kairos Ventures, an early-stage PE that backs life and physical science companies, Mr. Hayden led the portfolio valuation group, modeled complex transactions, advised portfolio companies in the preparation of deal models, valued intellectual property, and negotiated working capital requirements with buyers and their financial advisors. He sat on several portfolio company boards and served as the interim CFO for two portfolio companies.

    Mr. Hayden advised boards of early-stage and multinational companies on pivotal threats and opportunities, such as acquisitions, divestitures, capital raises, regulatory investigations, and high-stakes litigation. During periods of severe economic disruption, Mr. Hayden prepared financial models to enhance cash flow, avoid loan covenant violations, and secure additional capital so management could make the operational changes necessary to keep the company out of bankruptcy. Mr. Hayden testified before an SEC panel on relative fair value in multiple element arrangements and the fair value of acquired license agreements. He authored the calibration, control premium, and marketability discount sections of the AICPA investment company guide for private equity and venture capital firms. He worked closely with Deloitte’s investment company clients to design internal portfolio valuation methodologies and assisted with valuations of certain complex securities.
