Responsible for sourcing and reviewing company applications from within the Keiretsu Forum network to support GPs and Investment Screening Committee, coordinating with Carta accounting team to prepare quarterly and annual reports, coordinating with legal team to negotiate side letters and conduct legal reviews, and preparing presentation decks and arranging for live updates from portfolio companies at annual meetings.

Due Diligence Director

Facilitated company fundraising and member engagement through due diligence training, preparation, and management. Facilitated publication of >50 due diligence reports, averaging 1-3 per month, for companies in a variety of life science, technology, and consumer product industries, working with volunteer teams of investors. Created Due Diligence Workshop to provide due diligence education to investors and founders via lectures, guest speakers, and exercises meant to identify and brainstorm solutions to common risks that appear during due diligence. Lead the Term Sheet Committee to review financing documents and interpret term sheets, develop template term sheets, advise companies and investors on financing terms and best practices, and facilitate negotiation of deal terms. Assist in due diligence by collaborating with startups and investors to research competitors and exit comparables, validate and stress test financial model and exit assumptions, interview founders, assess gaps within a company’s management team and other company needs, review USPTO filings, etc.

Internal audit firm serving state agencies and nonprofit organizations to conduct financial reviews, fraud investigations, and internal control engagements. Responsibilities spanned planning through reporting, and included reviews of policies, procedures, and regulations; testing of procedures and internal controls; financial analyses and reconciliations; writing findings and drafting reports; and communicating findings and actionable recommendations to upper and executive management and audit committee members.

Accounting Technician

Significantly reduced accounting workflow by reducing manual data entry and automating report generation and reconciliations using Excel and VBA macros (including user forms). Generally responsible for improving and automating accounting procedures and providing recommendations to upper management. Daily accounting workflow included reconciliations, invoicing, recording revenue transactions, and recording accounts payable.

Legal Intern, Business Law Clinic

Brought four of my own clients to the clinic practice and represented the clinic in a presentation at the Governor’s Marketplace Expo in Spring 2019. Prepared and delivered presentations to nonprofit boards on governance best practices and advised clients on standard industry practices. Typical work included drafting and reviewing employment agreements, employee handbooks, sales contracts, waivers, nonprofit and for-profit formation, bylaws, and operating agreements.

Worked with a team of students to find, analyze, and invest in seed-stage startup companies. I was responsible for conducting due diligence and reporting on company pitches and investment opportunities sourced from monthly meetings in Southern California with Pasadena Angels; Seattle with Alliance of Angels and E8 Angels; and Portland with Oregon Venture Fund and Keiretsu Forum NW.

Worked in a team of students to actively manage and develop strategies for a ~$450,000 investment fund. Specific projects included building asset allocation models, writing equity research reports, and building a covered call simulator.
