Corporate • Counseled Open Influence (f/k/a “InstaBrand”), a digital ad start-up that promotes brands on Instagram, on the existence or scope of fiduciary duties per client/promoter agreements; • Was outside general counsel to Situation Interactive, a digital ad company, in connection with Child Online Privacy Protection compliance for its marketing materials and fair use of third party-content; and • Advised Apiece Apart, an award-winning women's brand, on compliance with federal and state securities laws exemptions for the sale of various interests. Intellectual Property • Provided counsel to Kanvas, a best new iTunes app that was acquired by AOL, concerning fair use of free iTunes samples by subscribers; • Negotiated an acquisition agreement for Alluring Logic, an SaaS company, for its sale to Proximity Insight, including ensuring compliance with certain open source code licenses; and • Registered and licensed trademarks for award-winning fashion designer and CFDA member Mr. Donald Deal, who has been featured in Neiman Marcus and Martha Stewart. Litigation • Defended the deposition of an ex-Google privacy researcher in two class actions, one which alleged privacy and related claims totaling $5 billion in damages. Calhoun v. Google, LLC, 526 F. Supp. 3d 605 (N.D. Cal. 2021) and Brown v. Google, LLC, 525 F. Supp. 3d 1049 (N.D. Cal. 2021); • After filing antitrust counterclaims, negotiated a confidential settlement successfully defending a Taiwan based hardware company against an Intel affiliate and Warner Brothers in Digital Millennium Copyright Act litigation. Warners Brothers et. al. v. Legendsky Tech Company LTD., Index No. 15-CV-10169; and • Obtained a favorable confidential settlement on behalf of Mr. Ramble Krohn (p/k/a "RJD2"), composer of AMC's Mad Men theme music, in the Supreme Court of New York, County of New York.
